1. Preamble and Scope

This contractual document governs all commercial relationships between the company operating the BoringLocal platform (accessible via boringlocal.com) and any natural or legal person subscribing to the services offered.

BoringLocal operates as a digital service provider specialized in assisting professionals with managing their presence on Google Business Profile. Our cloud technology automates, analyzes, and optimizes interactions with this third-party platform. Any use of our tools constitutes unconditional acceptance of the following provisions.

2. Functional Scope of the Solution

Our technical ecosystem provides a set of interconnected modules designed to maximize the impact of your local SEO strategy.

2.1 Google Profile Management Module

This core module offers granular control over your locations:

  • Automated diagnostics: systematic analysis of gaps (incomplete data, inappropriate categorization, missing hours) with corrective recommendations.
  • Customer feedback processing: drafting responses to reviews, either via our artificial intelligence engine or by manual input.
  • Historical catch-up: ability to process unanswered reviews in bulk to improve your digital image.
  • Scheduled editorial distribution: creation and scheduling of news (Google Posts) with integrated semantic optimization.
  • Geolocated visual enrichment: import and scheduling of visuals automatically integrating the GPS coordinates of the location.
  • Position mapping: graphical representation of your ranking according to search terms and targeted geographic areas.
  • Query analysis: study of expressions used by internet users to refine your content strategy.
  • Analytics dashboard: consultation of key indicators (impressions, phone requests, directions requests, web redirects).

2.2 Business Development Module

Features dedicated to identifying new business opportunities:

  • Potential target detection: identification of businesses with weaknesses in their local visibility.
  • Custom sales documentation: creation of analysis files in PDF format integrating your brand identity.
  • Physical collection tools: generation of printable materials with QR codes to stimulate review deposits at point of sale.

2.3 Monitoring and Retention Module

Tools designed to demonstrate the added value of your interventions:

  • Customizable activity reports: automatic production of periodic summaries adapted to your visual identity.
  • Automated review requests: scheduled triggering of requests via email or QR device.
  • Gamification mechanics: integration of contests or raffles to boost testimonial collection.
  • Alert system: instant transmission of information upon any change or new publication.
  • Monitoring interface: access to a dedicated space to observe the evolution of metrics in real time.

3. Access Methods and Credential Management

Using our infrastructure requires opening a personal space granting access to all features, both free and premium.

3.1 Eligibility Criteria

  • Legal age: only persons who have reached the age of 18 can contract.
  • Authority to commit: the subscriber must be authorized to act on their own behalf or on behalf of the entity they represent.
  • Technical prerequisite: connection with a Google account holding administrative privileges over at least one location is essential.

3.2 Registration Procedure

Registration requires the communication of the following elements:

  • A functional email address (used for exchanges, account administration, and billing)
  • A strong personal access code
  • Authorization to connect to your Google environment for location synchronization

The subscriber undertakes to transmit truthful and up-to-date information.

3.3 Access Protection

Your secret code remains under your exclusive custody. You assume full responsibility for its preservation. Any suspicious intrusion must be reported immediately to our teams.

3.4 Member Area Features

Your personal dashboard allows you to:

  • Update your contact information
  • Administer connected locations
  • View your active plans and payment history
  • Switch to a different plan
  • Retrieve your summary documents
  • Terminate your subscription

3.5 Recovery Procedure

In case of forgotten credentials, a reset mechanism is available on the login screen. Our support team is also available to assist you.

3.6 Definitive Closure

You can request the complete deletion of your profile by sending us a request. This action causes:

  • Immediate termination of all related services
  • Definitive purge of hosted information (locations, documents, histories), except those subject to legal retention

4. Usage Framework and Editorial Responsibility

Access to our infrastructure is within a framework of fair use and regulatory compliance. Any deviation may justify restrictive measures or account closure.

4.1 Behavioral Commitments

As a user, you commit to:

  • Use the solution in accordance with applicable laws (digital legislation, privacy rules, competition standards)
  • Adopt a respectful attitude towards third parties
  • Prohibit any functional misuse (manipulation of review systems, misleading publications, unauthorized automated extraction)
  • Refrain from any attempt to circumvent technical measures or alter operation
  • Justify legitimate rights over the locations you connect

Strictly prohibited:

  • Mass unsolicited mailings or artificial creation of reviews
  • Malicious behavior, insulting or reputation-damaging remarks
  • Dissemination of discriminatory, defamatory, or illegal content
  • Actions aimed at compromising the integrity or availability of our systems
  • Publication of content violating Google Business Profile guidelines

4.2 Types of Publishable Content

Our platform authorizes you to create and distribute various types of content on your Google Business Profiles:

  • Responses to customer reviews
  • News and announcements (Google Posts)
  • Practical information (hours, visuals, descriptions)
  • Text elements optimized for local SEO

These productions may result from processing by our artificial intelligence or from your direct input.

4.3 Liability Regime

  • Attribution to subscriber: you remain solely responsible for all elements distributed via your space, including those generated algorithmically. Prior verification before any publication is your responsibility.
  • No editorial intervention: BoringLocal does not perform any filtering or prior validation of its users' publications.
  • Right of moderation: in the presence of abusive use or reported problematic content, we reserve the right to restrict or close the affected access.

4.4 Property Rights Regime

  • You retain full ownership of the elements you create and distribute (texts, visuals, responses).
  • By using our services, you grant us a non-exclusive, worldwide, and free license for use, strictly limited to: providing services, technical hosting, generating statistical reports, and improving user experience.
  • This license automatically expires upon removal of the content or closure of your space.

5. Intellectual Property Rights

All components of our digital ecosystem benefit from the protection afforded by intellectual property law.

5.1 Assets Owned by BoringLocal

Within our exclusive assets (or those of our partners) are:

  • Software architecture, databases, ergonomics, graphic design, editorial content, algorithmic engines, scripts, and all technical components.
  • The name 'BoringLocal' and its variants.

Any copy, adaptation, extraction, or exploitation of these elements without prior written agreement constitutes a copyright infringement subject to prosecution.

5.2 Assets Owned by Users

You remain the owner of your creations distributed via our platform:

  • Written responses to comments
  • Published news
  • Descriptive texts
  • Imported photographs
  • Custom content integrated into reports

5.3 Granted Exploitation Rights

To ensure optimal operation of our services, you grant us a license allowing:

  • Storage on our infrastructure or that of our technical subcontractors
  • Processing by our algorithms (reformulation, analysis, georeferencing)
  • Technical duplication necessary (PDF export, backups)
  • Display in your monitoring interfaces

This authorization automatically expires upon deletion of content or closure of your account.

5.4 Preservation of Distinctive Signs

We reserve the right to protect our identity elements by filing. Any unauthorized appropriation of our brand or its variations is prohibited.

6. Personal Data Processing

The confidentiality of your data is a priority. Our practices comply with the European framework (GDPR) and French data protection legislation.

6.1 Types of Collected Data

We collect only the information essential for operation:

  • Identifying data: surname, first name, email, phone number, Google identifier.
  • Professional data: company name, position, names of managed locations.
  • Usage data: number of connected locations, content produced, activity log.
  • Financial data: tax location, VAT number if applicable, payment information processed by Stripe.
  • Technical data: connection logs, IP address, browser type, trackers.

No sensitive data (health status, beliefs, orientation) is requested.

6.2 Processing Purposes

Your information is used for the following purposes:

  • Creation and administration of your personal space
  • Provision of features
  • Execution of automated operations and report generation
  • Accounting management and subscription tracking
  • Customer support and incident resolution
  • Transmission of communications relating to your account

Your data is not sold to third parties.

6.3 Responsible Entity

BoringLocal assumes the function of data controller. For any questions, our dedicated service remains at your disposal.

6.4 Rights of Data Subjects

The European regulation grants you the following rights:

  • Consultation: obtain communication of information concerning you.
  • Correction: have any erroneous or incomplete data rectified.
  • Deletion: request erasure, subject to legal retention obligations.
  • Restriction: temporarily suspend processing in case of dispute.
  • Portability: recover your information in a structured format.
  • Objection: refuse certain uses, particularly promotional ones.
  • Consent withdrawal: revoke a previously granted authorization.

6.5 Retention Periods

Your information is retained:

  • Throughout the active life of the account.
  • For 3 years following the last interaction, unless early deletion is requested.
  • Accounting documents are archived for 10 years in accordance with tax obligations.

6.6 Tracker Management

Our site deposits various categories of cookies:

  • Essential: required for navigation and authentication.
  • Analytics: anonymous measurement of traffic.
  • Preferences: memorization of your display choices.
  • Advertising: personalization of offers and campaigns.

A banner allows you to configure your preferences on your first visit. You can also act via your browser settings.

7. Pricing and Payments

Access to premium features requires subscribing to a paid plan according to the terms set out below.

7.1 Payment Methods

Transactions are secured by Stripe, a PCI-DSS certified operator.

Accepted methods:

  • International credit cards (Visa, MasterCard, American Express)
  • Monthly recurring debit

No bank details are stored on our systems.

7.2 Range of Offers

We offer several plans adapted to your needs:

a. Flexible Plan (no commitment)

  • Monthly subscription cancellable at any time
  • Degressive pricing based on number of locations
  • Automated monthly billing at fixed date

b. Committed Plan (fixed term)

  • Contractual commitment over a defined period with preferential conditions
  • Automatic monthly debit
  • Irrevocable nature of the commitment for the subscribed duration
  • Tacit renewal unless otherwise stated before term

Pricing details are available on our website. We reserve the right to adjust them; new conditions apply to new subscriptions and renewals.

7.3 Subscription Management

Your secure space allows you to:

  • Adjust the scope of covered locations
  • Migrate to another plan
  • Update your payment details
  • Download your accounting documents
  • Initiate a cancellation procedure

You are required to keep your payment information up to date.

7.4 Tacit Renewal

  • Monthly plans renew automatically at each due date.
  • Committed plans extend for an equivalent period, unless contrary instruction is given before term.

7.5 Cancellation Procedures

a. Flexible Plan

  • Cancellation possible at any time via your space.
  • Effective at the end of the current billing period.
  • No additional fees or credit applicable.

b. Committed Plan

  • Early termination only possible upon payment of the remaining balance.
  • Exceptions allowed with justification: business cessation, collective proceedings, death of manager, exceptional circumstances (individual assessment).

7.6 Refund Rules

  • No refund is granted after payment, regardless of the plan.
  • In case of billing error attributable to our services, a claim can be submitted and will be processed within 10 business days.

7.7 Tax Regime

  • Displayed amounts are exclusive of taxes.
  • VAT is determined according to your location and tax status.
  • Invoices are downloadable in PDF format from your space.

8. Liability and Warranties

BoringLocal makes every effort to ensure the reliability, security, and availability of its platform. However, the user acknowledges and accepts that using an online service involves certain technical and legal limitations.

8.1 Limitations of BoringLocal's Liability

8.1.1 Independence from Google

BoringLocal is a service completely independent of Google. We have no partnership, affiliation, certification, or privileged relationship with Google. We have no power to influence Google's decisions and cannot in any case guarantee the maintenance, visibility, or proper functioning of the user's Google listings.

8.1.2 Liability for User Content

BoringLocal does not intervene in the validation, moderation, or verification of content published by users on Google listings via the platform (reviews, responses to reviews, Google Posts, images, descriptions, etc.).

The user is solely responsible for the content they generate, validate, or publish.

Consequently:

  • BoringLocal disclaims all liability in case of deletion, refusal, or sanction from Google Business Profile.
  • BoringLocal cannot be held responsible for defamatory, illegal, discriminatory, or misleading content published by the user.

8.1.3 Liability for AI-Generated Content

The user expressly acknowledges and accepts the following conditions regarding the use of BoringLocal's artificial intelligence features:

a) Nature of AI-Generated Content

Content generated by BoringLocal's artificial intelligence (responses to reviews, Google Posts publications, descriptions, content suggestions, analyses, recommendations, SEO optimizations, etc.) is provided for indicative and suggestive purposes only. This content does not in any case constitute professional, legal, commercial, or strategic advice engaging BoringLocal's liability.

b) Inherent Limitations of AI

The user acknowledges that artificial intelligence:

  • May make errors: spelling mistakes, grammar errors, syntax errors, factual inaccuracies, outdated or incorrect information.
  • May generate inappropriate content: awkward formulations, inappropriate tone for the situation, disproportionate or out-of-context responses.
  • May produce 'hallucinations': invented information, false claims, fictitious data presented as true.
  • Does not understand the complete context: AI has no knowledge of all aspects of your business, your customer history, or the specific nuances of your industry.
  • May be biased: AI models may reflect biases present in their training data.
  • Is not infallible: no AI technology guarantees 100% accuracy or relevance.

c) Exclusive User Responsibility

The user is solely and entirely responsible for all content published via the BoringLocal platform, whether written manually or generated by artificial intelligence. This responsibility applies to:

  • Content generated and manually validated by the user (validation mode)
  • Content generated and published automatically (automatic/autonomous mode)
  • All direct or indirect consequences of these publications

d) Verification Obligation — Including in Automatic Mode

Even when the user activates automatic or autonomous mode allowing AI to publish without prior validation, the user retains full responsibility for published content and commits to:

  • Regularly check content automatically published by AI
  • Correct or delete without delay any erroneous, inappropriate, or harmful content
  • Properly configure AI settings (tone, style, language, etc.) before activating automatic mode
  • Actively monitor notifications and alerts sent by the platform
  • Disable automatic mode if results do not meet expectations

The choice to activate automatic mode constitutes an informed decision by the user who knowingly accepts the risks associated with automated publication of AI-generated content.

e) Total Exoneration of BoringLocal

BoringLocal, the company ELLYOTT (SASU with capital of €1,000, SIRET 952 427 607 00025), its managers, employees, service providers, and partners disclaim all liability for:

  • Errors, inaccuracies, or omissions in AI-generated content
  • Inappropriate, offensive, defamatory, or harmful content generated by AI
  • Consequences of publishing AI-generated content (complaints, litigation, reputation damage, Google sanctions, legal proceedings, etc.)
  • Direct or indirect damages resulting from use of AI features (loss of customers, revenue, brand image, etc.)
  • Business or strategic decisions made based on AI recommendations
  • Any damage suffered by the user or third parties due to AI outputs

f) Waiver of Recourse

By using BoringLocal's artificial intelligence features, the user expressly waives any recourse, claim, compensation request, or legal action against BoringLocal and the company ELLYOTT in connection with AI-generated content, its accuracy, its relevance, or its consequences.

g) Best Practices Recommendations

BoringLocal strongly recommends its users to:

  • Start with validation mode before activating automatic mode
  • Systematically review each content before publication
  • Check daily the automatically published content
  • Report any malfunction or inappropriate content to our support
  • Maintain regular access to their BoringLocal space to monitor activity

8.1.4 Warranty Exclusions

The platform is provided 'as is' and 'as available'.

No express or implied warranty is given as to:

  • The absence of errors, bugs, or malfunctions
  • Compatibility with all browsers, operating systems, or APIs
  • Continuous and uninterrupted availability of the service
  • Achievement of a specific commercial, SEO, visibility, or financial result
  • Maintenance of a position or ranking in search results

BoringLocal does not guarantee that the platform will meet all user expectations or particular objectives. SEO ranking fluctuations are normal and expected, as Google's algorithm is proprietary and completely beyond BoringLocal's control.

8.1.5 Damage Limitations

To the extent permitted by law, BoringLocal's liability is strictly limited:

  • No compensation may be claimed for indirect damages, such as: loss of revenue, business opportunities, reputation damage, data loss, SEO penalties, loss of ranking.
  • BoringLocal's liability, in any case, shall be capped at the total amount paid by the user during the six (6) months preceding the incident in question.

8.2 Non-Intervention in Case of Google Suspension, Deletion, or Ban

⚠️ IMPORTANT NOTICE

The user expressly acknowledges and accepts that:

8.2.1 Complete Absence of Intervention

In case of suspension, limitation, deletion, deactivation, or ban of their Google account, their Google Business Profile listings, or any other element linked to their Google environment, BoringLocal will not undertake any intervention, mediation, technical assistance, reactivation steps, or appeal to Google, regardless of the cause or origin of the problem.

8.2.2 Exclusive User Responsibility

The user is solely responsible for the compliance of their account and listings with Google's policies, rules, and terms of use. Any action by Google (suspension, warning, deletion, algorithmic penalty, publication refusal, ranking degradation, etc.) falls exclusively within the relationship between the user and Google.

8.2.3 No Refund

A suspension, deletion, or restriction imposed by Google does not constitute grounds for refund, whether partial or total, temporary or permanent. The subscription remains due in full.

8.2.4 Waiver of All Recourse

The user expressly waives engaging BoringLocal's liability, filing any claim, compensation request, or legal action directly or indirectly related to:

  • A suspension or ban of their Google account
  • A deletion or deactivation of a Google Business Profile listing
  • A degradation of ranking in search results
  • A loss of visibility, reviews, data, or content
  • Any other measure taken by Google or its affiliated services

8.3 User Warranties

The user warrants that:

  • They hold all necessary rights to publish content distributed via BoringLocal.
  • They do not use the platform for prohibited or illegal activities (e.g., fake reviews, harassment, SEO manipulation attempts contrary to Google guidelines).
  • They comply with all obligations described in these Terms of Sale.
  • They perform systematic verification before any publication.
  • They respect Google Business Profile's terms of use and other third-party services.

8.3.1 Indemnification Obligation

In case of breach, the user agrees to fully indemnify BoringLocal against any claim, complaint, lawsuit, or damage, including attorneys' fees and court costs, brought by third parties or authorities due to their actions or content.

8.4 Force Majeure

BoringLocal cannot be held liable for total or partial non-performance of its obligations if this non-performance results from a case of force majeure, including:

  • Natural disasters, wars, acts of terrorism
  • Pandemics, epidemics, health crises
  • General power, telecommunications, or Internet outages
  • Cyberattacks, computer hacking
  • Government, regulatory, or judicial decisions
  • Strikes, social movements
  • Failure of an essential third-party provider, including Google and its APIs

In case of force majeure, BoringLocal is released from all obligations without compensation or penalty.

8.5 Service Modifications and Interruption

BoringLocal reserves the right to modify, suspend, or interrupt all or part of the service at any time, with or without notice, for technical, commercial, legal, or security reasons. The user cannot claim any compensation in case of feature changes or temporary or permanent service discontinuation.

8.6 Data and Backup

The user is solely responsible for backing up their data. BoringLocal does not guarantee data preservation in case of termination, suspension, or technical incident. No claim will be accepted for data loss.

8.7 Intellectual Property

All source code, algorithms, user interface, texts, AI models, and BoringLocal technology remain the exclusive property of the company operating BoringLocal. The user acquires only a right of use limited to the duration of their subscription. Any reproduction, reverse engineering, copy, extraction, or commercial exploitation is strictly prohibited.

8.8 Time Limitation on Claims

Any claim must be made in writing within thirty (30) days following the event concerned. After this deadline, no claim will be admissible.

8.9 Class Action Waiver

The user waives participation in any class action or group action against BoringLocal. Any dispute must be handled individually.

9. End of Contractual Relationship

We reserve the right to terminate or restrict access to our services, temporarily or permanently, in case of breach of these conditions or for any legitimate reason.

9.1 User-Initiated Termination

You can terminate your subscription according to the following terms:

  • Flexible plan: immediate disengagement via your space, effective at the end of the current period.
  • Committed plan: early termination conditional on full payment of the balance, except documented exceptional circumstances.

Closing your account automatically terminates the associated services.

9.2 BoringLocal-Initiated Termination

We may close your access in the following situations:

  • Repeated or characterized violations of these conditions
  • Payment default
  • Abusive or fraudulent use
  • Behavior harmful to the security or image of our platform
  • Extended inactivity (beyond 12 months) on a non-paying account

Process: except for serious misconduct justifying immediate intervention, prior notice is sent to you with a deadline for regularization.

9.3 Temporary Suspension

We may temporarily suspend your access in the following cases:

  • Maintenance operations: notice by notification or email.
  • Security alert or suspicion of fraud: for the duration of necessary verifications.
  • Alleged breach: during the investigation of the case.

During this period, all or part of the features may be unavailable. You are informed of the reasons and conditions for restoration.

9.4 Effects of Closure

The end of the contractual relationship results in:

  • Termination of your access rights
  • Deletion of your data within 30 days (except legal constraints)
  • Disconnection of your locations from our interface (without impact on your Google profiles)
  • Stopping automations and scheduled publications
  • Cancellation of unconsumed benefits or credits (without carryover or transfer)

10. Evolution of Contractual Framework

We reserve the right to adapt these conditions to respond to regulatory, technical, or commercial developments.

10.1 Revision Procedures

Any modification follows the following process:

  • Prior information: any significant change is communicated by email.
  • Effective date: minimum 30 days after notification, unless expressly stated otherwise.
  • Accessibility: the updated version remains permanently accessible on our site.

10.2 Acceptance Procedures

  • Continued use after the new conditions come into effect constitutes acceptance.
  • In case of disagreement, you may cancel without penalty if the modification substantially affects your rights.

10.3 Transitional Measures

We may arrange an adaptation period allowing:

  • Adjusting your practices
  • Temporarily benefiting from the old provisions
  • Disengaging under arranged conditions

These terms are specified in the communication sent to you.

10.4 Traceability

For transparency:

  • We maintain a dated history of each version
  • Previous versions are available on request
  • The conditions accepted during your registration may be archived

11. Additional Provisions

The following provisions complement the contractual framework and specify the rules of interpretation and application.

11.1 Communication Channels

We favor clear and accessible means of exchange:

  • Email: address associated with your account (to be kept up to date).
  • Integrated notifications: messages displayed in your interface.
  • Online documentation: dedicated sections on our site.

These channels constitute valid means of notification for any contractual communication.

11.2 Amicable Dispute Resolution

In case of dispute, the parties endeavor to find a negotiated solution before any legal action:

  • You present your claim to our customer service.
  • Failing resolution within 30 days, recourse to a mediator or competent courts is possible.

11.3 Severability

The possible invalidation of a clause by a court does not affect the validity of the other provisions. The concerned stipulation may be reformulated to preserve the original spirit.

11.4 Entirety

This document constitutes the entire agreement between the parties, superseding any prior commitment. No tolerance or omission shall constitute a waiver of subsequently enforcing a provision.

11.5 Applicable Law and Jurisdiction

These terms are governed by French law. Any dispute not resolved amicably falls under the exclusive jurisdiction of French courts.

12. Party Autonomy

Our relationship is within a framework of service provision. It establishes no relationship of subordination, partnership, or mutual representation.

12.1 Party Status

Your use of BoringLocal, whether you act as an independent, agency, or company, does not establish any employment, mandate, or partnership relationship. Each operates in their own name, with full legal and financial autonomy.

12.2 Limits of Authority

  • You cannot commit BoringLocal to third parties without express written authorization.
  • We are not accountable for the commitments, statements, or content you communicate to your own clients.

12.3 Respective Charges

Each party assumes alone:

  • Their tax, social, and regulatory obligations
  • Compliance with laws applicable to their activity
  • The consequences of their own decisions and actions

12.4 Citation Rights

Unless you formally object, we reserve the right to mention your identity (name, logo, website) as a reference on our communication materials. You may request removal of this mention at any time by simple message.
